링크드인을 통해서 서치펌으로부터
2월초에 시작하는 어느 기업 실사 프로젝트에 참여할 생각이 없는지 묻는 영문 메시지가 왔다.
실사를 맡은 컨설팅회사가 서울 오피스가 없는 외국 회사인데 한국 시장을 분석해줄 사람을 찾는 모양이었다.

그래도 일한 짬밥(?)이 있어서인지
주욱 읽어보니 별거 아닌 것으로 보였고, 짧은 기간에 돈도 많이 준다니 관심있다고 답을 했더니

클라이언트(컨설팅회사)가 최근 DD경험이 있는 사람을 찾기에 나를 어떻게 생각할지 모르겠다고 답이 왔다.
그 메시지를 보고 피식 웃었다.

나는 DD에 참여한 컨설턴트가 아니라 principal의 VP로서 DD를 총괄한 사람인데
클라이언트인 투자자 입장에서 실사를 통해 무엇을 얻으려 할지, 무엇을 중요시 여길지 모른다 생각하는걸까.
100 day plan 이런 것도 실제 실행해보지않은 컨설턴트가 만드는 것과 실제 해본 사람이 만드는 것은 다른데

건방지게 들릴지 모르겠지만…

최근 경험이 중요하다 생각하면 그래요 그런 사람 찾으세요
라고 생각만 하고 간단히 접었다.

Due diligence project for acquisition in the consumer goods space

Objectives and Key Deliverables
We’re an independent management consulting firm. We are planning a due diligence exercise for a proposed acquisition in the Korean cosmetic industry. There are 5 modules contemplated:

1. Profile the company and its historic performance (What are we buying?)

– Product and brand portfolio
– Manufacturing arrangements
– Distribution arrangements by market
– Organisation structure and staffing levels by function
– Sources of revenue and profit (by market, by distribution channel, by brand

Activities: management interviews, review of management accounts

2. Assess the company’s growth plans by market (what plans are in place, how credible are they?)

– South Korea, China, USA, Europe, other

Activities: Management interviews (SK, China, USA); buyer interviews (Europe)

3. Gauge the company’s reputation in its channels (What do its distributors and retailers think of it?)

Activities: Interviews with retailers and distributors

4. Gauge the company’s reputation among end-users (What do consumers think of its products/what is the repeat purchase rate?)

Activities: consumer phone interviews

5. Create a 100 day post-acquisition plan (what do we do with the company going forwards?)

We are seeking a Seoul-based native Korean speaker with top tier strategy consulting experience and the ability to provide both analytical insight and a shrewd assessment of management capabilities. References essential.

The project will most likely start early February and will be for a duration of 4-8 weeks.
